1 Acceptance of terms
These Terms & Conditions ("Terms") form a binding agreement between you and Embrix ("we", "us", "our"), the operator of embrix.in and related services (the "Platform"). By creating an account, browsing, buying, selling or uploading content on the Platform you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please stop using the Platform.
2 Eligibility & account
- You must be at least 18 years old and legally capable of entering into binding contracts under Indian law.
- You must register with a working Indian mobile number; we verify it via OTP.
- One person may hold one account. Creating multiple accounts to evade rules, manipulate sales rankings, or game promotional offers is grounds for suspension.
- You are responsible for the security of your login credentials. Notify us immediately at support@embrix.in if you suspect unauthorised access.
- The information you provide (name, mobile, email, GST details for sellers) must be accurate and kept up to date.
3 Marketplace overview
Embrix is an online marketplace where independent embroidery digitizers ("sellers") sell machine-embroidery design files (DST, PES, JEF, EXP, VP3, HUS, XXX and similar formats) to buyers ("buyers"). We act as an intermediary platform — we do not produce or sell the designs ourselves, except where explicitly marked as "Embrix Originals". Each transaction is between the buyer and the seller; we facilitate payment, downloads, and dispute resolution.
4 Buyer rules
- Personal & commercial use is allowed. Once purchased, you may use a design to embroider items for personal use, your studio, or for stitching customer garments without a per-stitch royalty.
- Resale of the digital file is not allowed. You cannot redistribute, share, repackage, or resell the actual
.dst/.pes/.jeffile in any form. Each license is for the buyer's own embroidery production only. - One purchase per design — once you own a design, your account has lifetime download access. You cannot buy the same design twice from the same account.
- Sharing your account or download links with others to bypass purchase is a violation of these Terms and may lead to account suspension.
5 Seller rules
- You may only upload designs that you own outright or have a clear, transferable licence to sell. Re-uploading another digitizer's design — including ones bought from third-party sites — is grounds for immediate removal and account ban.
- Each design must include working files in at least one common format (DST, PES, JEF or EXP), an accurate preview image, a stitch count, and a recommended hoop size.
- The preview image you upload represents the actual stitched output. Misleading mockups, AI-generated photos, or stock-photo previews that don't reflect the real design will be rejected.
- You set the seller price; the buyer pays seller price + Embrix commission. The current commission rate is shown to you when listing a design and may change with notice.
- You must respond to buyer questions within 7 days; persistent non-response can lead to listings being de-prioritised or hidden.
6 Design content & copyright
You retain ownership of the designs you upload. By listing a design, you grant Embrix a non-exclusive, royalty-free, worldwide licence to:
- Display the watermarked preview image and metadata to potential buyers;
- Distribute the source files to buyers who have completed payment;
- Use thumbnails, stitch-count, and other metadata in promotional material with your seller name credited.
Copyright complaints: if you believe a design listed on Embrix infringes your copyright, file a claim from your account at /app/claims (or email support@embrix.in). We follow a clear take-down procedure: hide the listing within 48 hours of a credible complaint, notify the seller, and require evidence of original ownership. Repeat infringers are permanently banned and forfeit any pending payouts.
7 Pricing, payments & commission
- All prices are in Indian Rupees (₹) and inclusive of applicable taxes unless stated otherwise. GST invoices are issued for transactions where the seller has provided a valid GSTIN.
- Payments are processed via secure third-party gateways. We do not store full card numbers, UPI PINs, or net-banking credentials.
- The platform commission per sale is the difference between the buyer total and the seller's set price. The current rate per category is visible during listing and may be adjusted with at least 14 days' notice to active sellers.
- Designs are unlocked for the buyer only after payment is confirmed by the gateway. Failed or cancelled payments do not create an order.
8 Refunds & cancellations
Because design files are digital and instantly downloadable, sales are final once the file has been downloaded. We will refund or replace a purchase only in these cases:
- The downloaded file is corrupt, in the wrong format, or unreadable on standard embroidery software (raise a claim within 7 days of purchase).
- The actual design materially differs from the listed preview (e.g. completely different motif).
- A duplicate charge by the payment gateway.
Refunds are credited back to the original payment method within 7–10 working days of approval.
9 Seller withdrawals
- Sale earnings appear in your wallet's Pending balance immediately after a buyer pays. They move to Available after a 7-day clearance window (during which the buyer can raise a quality dispute).
- You can withdraw any amount above the minimum withdrawal threshold to a verified bank account or UPI ID. Withdrawals are processed within 3 working days, subject to KYC checks.
- Withdrawals to mismatched account names or unverified UPI IDs may be held pending verification.
10 Prohibited conduct
You must not, and must not allow any third party to, on or through the Platform:
- Upload pirated, plagiarised, or third-party owned designs without licence;
- Post obscene, hateful, religiously offensive, or illegal content;
- Share contact information, external links, or off-platform payment requests in comments, messages, or product descriptions to circumvent the marketplace;
- Reverse-engineer, scrape, or bulk-download files outside the normal buyer flow;
- Manipulate ratings, reviews, sale counts, or search rankings through fake accounts or paid actions;
- Interfere with the Platform's security, performance, or availability.
11 Jobs board
The jobs board lets users post and apply for embroidery digitizing, design, and freelance roles. Postings must be genuine job opportunities; spam, MLM schemes, and unrelated services will be removed. Embrix is not a party to the employment relationship — we do not screen employers or applicants beyond standard account verification, and we are not responsible for the outcome of hiring decisions or the fulfilment of work agreements between users.
12 Disclaimers & liability
The Platform and all content are provided "as is". To the maximum extent permitted by Indian law:
- We make no warranty that any design will produce a specific stitch quality on every machine, fabric, or thread combination.
- We are not liable for indirect, incidental, or consequential losses arising from a design — including loss of fabric, machine downtime, customer dissatisfaction, or lost orders.
- Our total aggregate liability to any one user for any claim relating to the Platform is capped at the amount that user has paid Embrix in the 6 months prior to the claim.
13 Suspension & termination
We may suspend or terminate your account at any time, with or without notice, if you breach these Terms — particularly the copyright, prohibited-content, or payment-fraud sections. Buyers retain access to designs they had already purchased. Sellers forfeit pending earnings tied to the violation but keep already-cleared wallet balance, subject to KYC verification.
14 Governing law & disputes
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with the Platform shall be subject to the exclusive jurisdiction of the courts at Surat, Gujarat. Before litigation, parties agree to attempt resolution via the in-app support and claims process.
